Terms of Service
These Terms of Service ("Terms") govern your access to and use of Ewaade (the "Platform"), operated by OAA Venture Limited ("Ewaade", "we", "us", "our"). By creating an account, listing services, or making a booking, you agree to be bound by these Terms.
1. About Ewaade
Ewaade is a multi-tenant booking marketplace that connects independent service providers (salons, barbers, nail technicians, makeup artists, massage therapists, and similar beauty / wellness professionals) with customers who book appointments, order related products, and rent equipment.
We provide the technology platform. We are not the provider of any service that a customer books through the Platform. Each independent business listed on Ewaade is the responsible party for the services it advertises, sells, and delivers.
2. Definitions
- Provider: an independent business that lists services, products, or rental items on the Platform.
- Customer: a person who books an appointment, places an order, or rents an item through the Platform.
- User: any Provider or Customer.
- Services: the appointments, product sales, and rentals listed by Providers on the Platform.
- Booking: a confirmed appointment, order, or rental made through the Platform.
3. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract under the laws of your jurisdiction. Providers must be lawfully authorised to operate the business they list and must hold any licences or qualifications required by their local regulations.
4. Account registration and verification
Providers register through our signup flow and may be required to complete identity, business, and payment verification (Know Your Customer / KYC) checks before activating their listing or receiving payouts. We may withhold activation, suspend, or terminate any account that fails or refuses these checks.
You are responsible for keeping your login credentials confidential and for all activity on your account. Notify us immediately at support@ewaade.com if you suspect unauthorised access.
5. The marketplace model
When a Customer books through Ewaade, the contract for the underlying service is between the Customer and the Provider. We facilitate the booking, the communication, and (where applicable) the payment flow, but we are not party to that contract.
Providers set their own prices, service descriptions, availability rules, and cancellation deadlines, subject to these Terms and our Acceptable Use Policy and Vendor Terms.
6. Payments
Payments are processed by third-party payment service providers, currently Stripe (for GBP and EUR transactions) and Paystack (for NGN transactions). By using the Platform you agree to the relevant payment provider's terms in addition to ours.
We may charge a platform fee on transactions. Current fee rates are published in the Provider dashboard under Billing. Payment provider fees apply in addition to any platform fee. Providers receive net payouts on the schedule determined by the relevant payment provider.
7. Cancellations and refunds
Cancellation rights, deadlines, and refund handling are set out in our Refund Policy. Customers can cancel certain bookings within published deadlines via the booking management link in their confirmation email; outside those windows, cancellation requires the Provider's agreement.
8. User responsibilities
You agree to:
- Provide accurate, current, and complete information in your account.
- Use the Platform only for its intended purpose and in accordance with these Terms, the Acceptable Use Policy, and applicable law.
- Honour confirmed bookings; arrive at the agreed time (Customers) or deliver the agreed service to the agreed standard (Providers).
- Pay all amounts due on time.
- Treat other Users professionally and respectfully.
9. Prohibited activities
Detailed in the Acceptable Use Policy. In summary, you may not use the Platform for illegal activity, fraud, harassment, intellectual property infringement, money laundering, or to facilitate or sell goods or services that violate applicable law.
10. Intellectual property
The Platform, its software, designs, logos, and original content are owned by OAA Venture Limited or its licensors. Providers retain ownership of the content they upload (photos, descriptions, etc.) and grant Ewaade a worldwide, royalty-free licence to display, reproduce, and distribute that content as necessary to operate the Platform.
11. Disclaimers
The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
We do not endorse, and are not responsible for, the quality, safety, legality, or accuracy of any service listed by a Provider. Customer reviews and ratings reflect individual experiences and not our views.
12. Limitation of liability
To the fullest extent permitted by law, neither OAA Venture Limited nor its directors, employees, or agents will be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Platform.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, or for fraud.
13. Suspension and termination
We may suspend or terminate any account at any time, with or without notice, if we reasonably believe you have breached these Terms, the Acceptable Use Policy, or applicable law; if required by a payment provider, regulator, or court order; or if your account presents an unacceptable risk of fraud, chargebacks, money laundering, or harm to other Users.
We may also suspend an account during an investigation, hold pending payouts, or require additional documentation to verify identity, source of funds, or business legitimacy.
14. Privacy and cookies
Our handling of personal data is described in our Privacy Policy. Cookies and similar technologies are described in our Cookie Policy.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email to Providers and, for Customers, by a notice on the Platform. Continued use of the Platform after the effective date of a change constitutes acceptance of the updated Terms.
16. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, save that we may bring proceedings in any jurisdiction where you reside or operate to enforce our rights.
