Vendor / Service Provider Terms
These Vendor Terms apply if you list services, products, or rentals on Ewaade (as a "Provider"). They supplement, and form part of, our Terms of Service. If there is any conflict between these Vendor Terms and the general Terms of Service, these Vendor Terms prevail for matters specific to Providers.
1. Eligibility and verification (KYC)
To list as a Provider you must be:
- At least 18 years old (or the age of majority in your jurisdiction) and legally able to contract;
- A lawfully registered business (sole trader, limited company, partnership) or a self-employed professional with the required licences and qualifications for the services you list;
- Able to provide and verify your identity and, where required, your business registration, address, beneficial ownership, and bank account details.
We may at any time require additional information or documents from you for KYC, anti-fraud, anti-money-laundering, or sanctions purposes. Failure or refusal to provide requested information is grounds for suspension or termination and may delay or block payouts.
2. Your listing and content
You agree to:
- Describe your services, products, and rentals accurately, including price, duration, what is included, what is not, and any policies.
- Upload only content (photos, descriptions) you have the right to use and that does not infringe third-party rights.
- Keep your availability and prices up to date.
- Not list services or products outside your registered business category without prior approval.
You grant Ewaade a worldwide, royalty-free licence to display, reproduce, and distribute your listing content for the purpose of operating and marketing the Platform.
3. Bookings and fulfilment
When a Customer books a service from you through the Platform, a contract is formed between you and that Customer. You are responsible for delivering the service as described, at the agreed time, in line with all applicable laws, regulations, and professional standards.
You must respond promptly to Customer messages routed through the Platform, honour confirmed bookings (or offer reasonable alternatives if you cannot), and maintain hygiene and safety standards appropriate for your service category.
4. Pricing, fees, and payouts
You set the price for your services, products, and rentals. The Platform applies a platform fee, currently disclosed in your dashboard under Billing. Payment processor fees (charged by Stripe or Paystack) apply in addition. We may update fees on reasonable notice; continued use of the Platform after the effective date of a change constitutes acceptance.
Payouts to your bank account are made by the relevant payment processor on the schedule they determine, subject to KYC completion and risk holds. We may delay or hold a payout if we reasonably believe it is at risk of being reversed, of being subject to a chargeback, of representing fraud, or for compliance reasons.
5. Taxes
You are solely responsible for the tax treatment of your earnings, including income tax, social-security contributions, and any sales tax / VAT obligations. Ewaade does not withhold or remit Provider taxes and does not provide tax advice. You should consult a qualified adviser if you are unsure.
6. Refunds and disputes
Refund handling is described in our Refund Policy. As a Provider you agree to handle reasonable Customer cancellations and refund requests promptly and to participate in good faith in any dispute resolution we facilitate. Where a refund has been approved (by us, by the payment processor, or by a court), we may deduct the refund amount from your subsequent payouts.
7. Chargebacks
If a Customer disputes a charge directly with their bank ("chargeback"), we will respond to the payment processor's dispute process. You agree to provide promptly any evidence we reasonably request (booking notes, photos, communications). If the chargeback is upheld, the disputed amount and any associated fees will be deducted from your subsequent payouts.
8. Prohibited business categories
You may not use Ewaade to list, sell, or facilitate:
- Services or products that are illegal in your jurisdiction or the Customer's jurisdiction.
- Adult or sexually explicit services not properly registered and not age-verified through compliant means.
- Prescription medicines, regulated medical devices, or any service requiring a licence you do not hold.
- Cosmetic procedures regulated as medical procedures unless you hold the required clinical qualifications and registrations.
- Anything listed in the prohibited categories of our Acceptable Use Policy or the prohibited business categories of our payment processors.
9. Data handling
In the course of using the Platform you will receive personal data about Customers. Where you act as a controller of that data (for example, your own client list), you are responsible for compliance with applicable data protection laws. You agree to:
- Use Customer data only for the purpose of providing the booked service or for related lawful purposes such as essential follow-up.
- Not contact Customers off-Platform to circumvent platform fees.
- Not share Customer data with third parties without a lawful basis.
- Respect Customers' data rights, including access and erasure.
- Notify us promptly of any personal data breach affecting Platform Customers at privacy@ewaade.com.
10. Indemnity
You will indemnify and hold harmless OAA Venture Limited and its officers, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising out of (a) your services or products, (b) your breach of these Vendor Terms, the Acceptable Use Policy, or any law, or (c) your handling of Customer data.
11. Suspension, holds, and termination
We may suspend your account, freeze your listings, hold pending payouts, or terminate your access at any time if we reasonably believe any of the following applies:
- Breach of these Vendor Terms, the general Terms of Service, or the Acceptable Use Policy.
- KYC, anti-money-laundering, sanctions, or fraud-risk concerns.
- An unusually high rate of chargebacks, refunds, complaints, or cancellations.
- A request from a payment provider, regulator, court, or law enforcement agency.
Where lawful and practical, we will explain the reason for action and give you an opportunity to respond. Some situations require us to act without notice (for example, suspected fraud or a regulatory order).
12. Termination by you
You may close your Provider account at any time from your dashboard. You remain responsible for honouring any bookings already confirmed at the time of closure. Final payouts will be made after a reasonable reserve period to cover potential refunds and chargebacks.
13. Changes
We may update these Vendor Terms on reasonable notice. Material changes will be notified by email. Continued use of the Platform after the effective date of a change constitutes acceptance.
